Founded in 2017, Kingston Medical Group Pte Ltd (KMG) is a leading healthcare provider in Singapore specialising in health screening services for foreign workers. With an extensive network of more than 300 corporate clients, Kingston Medical Group has established partnerships with reputable organisations across the Asia Pacific region.
As the company continued to grow, the founders wanted to formally recognise the contributions of a founding executive who had played an important role in the development and expansion of the business.
To achieve this, the founders explored the implementation of a Founding Executive Equity Framework through an Employee Share Ownership (ESOW) Plan. The initiative required careful consideration of the company’s existing shareholding structure, shareholder arrangements and corporate documentation.

Implementing an Employee Share Ownership Plan in Singapore requires more than simply allocating shares to an employee. The arrangement needs to be properly documented and aligned with the company’s existing corporate structure and governing documents.
For Kingston Medical Group, the key challenge was to establish a clear framework that would formally recognise the founding executive’s contribution while ensuring the company’s shareholder arrangements remained properly documented.
The restructuring also required the review and preparation of several important corporate documents, including the Shareholders’ Agreement, Deed of Adherence and other legal documentation associated with the ESOW Plan.
In addition, KMG’s existing Company Constitution needed to be reviewed to determine whether amendments were necessary to accommodate the new employee share ownership arrangement.
